Constitution and Bylaws
We the undersigned, as charter subscribers to the ideals of the
Amateur Radio Service and the Federal Communication Commission (FCC) rules and regulations governing electromagnetic transmissions, especially via remote sites (i.e.,
Repeaters) do hereby outline the following philosophies, rules regulations and bylaws as both reasonable
and essential to the proper use of radio equipment to be installed for use as a repeater.
ARTICLE 1: NAME
The name shall be "Dugger Amateur Radio Club (DARC)".
The repeater equipment shall be operated under the call sign of the duly elected trustee.
This repeater shall also operate on the assigned frequency of 146.175 - 146.775 MHZ, as coordinated by the Indiana Repeater Council effective on or about_______
ARTICLE 2: PURPOSE
This repeater shall exist to:
A:) Serve amateur radio operators in their communications among one another as outlined by the FCC.
B: Serve the community of Sullivan/Greene and surrounding counties by providing 3rd party communication (as defined by the FCC) in times of emergency or need.
B: Stimulate interest in both amateur radio and the activities of the DARC within Sullivan/Greene and surrounding counties.
ARTICLE 3: MEMBERSHIP
Use of the DARC repeater shall be open to any FCC-licensed amateur radio operator of Technician Class or higher,
regardless of affiliation with this or any other amateur or non-amateur organization.
Maintenance of the DARC repeater equipment shall be from memberships in the DARC.
These memberships shall be defined as:
A: Eligibility for Membership:
Any amateur radio operator will be eligible for membership in the DARC.
As per FCC regulation, only technician, and higher class licensee will be allowed access to repeater control operations.
However, novice class licensee interested in amateur radio is encouraged to seek membership
for general knowledge benefits and/or experience in maintaining operation status of repeater equipment.
Memberships will be granted to applicants upon approval by the Board of Directors.
B: Dues: Two Categories
Household Category: Where more than one (1) amateur resides in the same household.
Individual Category: Where only one (1) amateur resides in a household.
Dues shall be determined at first annual meeting of the year.
Dues shall be accepted upon membership petition to help defray operating expenses of the repeater equipment.
The dues shall be set by the membership by the manner prescribed herein and payable for a calendar year,
beginning on January 1 and ending on December 31.
New members will be prorated, on a monthly basis, to the beginning of the next fiscal year.
Any member sixty (60) days delinquent shall be considered to have resigned their membership.
C: Privileges:
Membership privileges and responsibilities shall include:
1. One (1) vote per membership fee whether it be an individual or household category,
at club meetings on any matter brought before the general membership.
2. Access to user or control function codes related to repeater operation as cleared by the Board of Directors (i.e., auto-patch access, identifier test, repeater codes, etc.
3. An implied responsibility to monitor the repeater frequencies for non-regulation use, and to inform the Board of Directors of any monitored persistent abuses. This responsibility is very essential.
4. A responsibility to log all 3rd party traffic on the repeater frequency, in accordance with FCC regulations.
ARTICLE 4: BOARD OF DIRECTORS
This repeater and it's operational procedure shall be governed by a "Board of Directors".
A: Composition: (5 members)
1. President
2. Vice-President
3. Recording Secretary
4. Treasurer
5. Trustee
B: Board Members Responsibilities:
1. President: The president shall preside at all meetings, appoint committees as needed, and enforce all question of order; sign all official documents adopted by the DARC, and with the advice and consent of the Board of Directors call for "Special Meetings" should they become necessary.
2. Vice-President: shall assume all the duties of the President in his/her absence. In addition he/she shall organize association activities such as fund raising events, emergency communication exercises and other events to improve the welfare of the DARC.
3. Recording Secretary: shall keep a record of the proceeding of all meetings, keep a roll of members, submit membership applications, carry on all correspondence, read communication at each meeting.
4. Treasurer: shall keep an accurate account of all monies received and expended; pay no bills over fifty dollars ($50.00) without proper authorization of the Board of Directors. At the end of his/her terms he/she shall turn over everything in his/her possession belonging to the club to his/her successor.
5. Trustee: shall serve as official repeater sponsor and aid in policy making for the DARC.
C: Authorities of the Board of Directors:
1. Investigate and recommend all policies concerning operation and maintenance of the repeater.
2. Shall assign control operators as needed to assure correct operating practices in accordance with FCC regulations.
3. Term of Office: The President and Recording Secretary elected for 1995 shall serve a term of two (2) fiscal years and the Vice-President shall serve one (1) fiscal year. The Treasurer and Trustee shall serve a term of three (3) fiscal years. Each member, of the Board of Directors, elected succeeding 1995 shall be elected for a term of three (3) fiscal years.
4. Requirements to hold Office: In order to hold and remain in office, an individual must be a member in good standing. An individual may hold only one (1) office in the association at a time. In order to hold office an individual must hold a valid Technician class or higher Amateur Radio License.
5. Vacancies: Should a vacancy occur among the Board of Directors, a special meeting of the remaining directors shall be held within sixty (60) calendar days after the vacancy, to determine who shall fill the vacant appointment.
6. Quorum: A Quorum shall be a minimum of one-third (1/3) of the total membership or three-fifths (3/5) of the Board of Directors present at the meeting; whether it be '1Special" or 1'Regular".
ARTICLE 5: MEETINGS
Meetings shall be held at a time and place announced by the President.
There shall be an annual meeting of the Board of Directors each calendar year.
Followed by a general membership) meeting within one calendar month.
The meetings shall be held in Sullivan/Greene County, Indiana and governed by Roberts Rules of Order.
ARTICLE 6: COMMITTEES
A: Committees shall be appointed by the President as necessary. Members in good standing may be appointed to serve as chairperson on said committees. The number of committee members shall be determined by the president with consideration of the chairperson of the committee.
B: Committee Chairperson appointed by the DARC president.
1. For a particular event, function, service or job pertaining to the DARC and the maintenance of the repeater and all associated equipment. Anything deemed necessary by the DARC president.
2. Shall be in charge of the committee and its function and report to the president of the DARC.
ARTICLE 7: FIANCES
A: Policies: It must be stressed that the financial definition of the club is Not-for-Profit.
A member or donor is not, by any definition are strictly donations and express an interest by the member
in the maintenance of the repeater equipment and its proper functioning.
B: Club Assets:
The Treasure will maintain a written inventory of assets and a separate written inventory of items being used by the club on a "borrowed" basis.
The list of borrowed items will include the name of the donor and expected return date, if any.
The written inventories must be updated at least once a year and the inventories must be as current as reasonably possible for each yearly meeting.
C: Dissolution of the Dugger Amateur Radio Club:
Dissolution of the club would be a unanimous decision from the Board of Directors.
Any borrowed equipment must first be repaired (if need) and then returned to the lender.
Any donated equipment must be made available to the donor.
Any club-owned assets must be sold within six (6) months, with club members being given first option of purchase.
All proceeds of the sale shall go into the club's savings account until a special meeting can be called and dissolution of the funds can be determined by members of good standing.
D: Budget:
The Treasurer shall submit an annual budget to the Board of Directors for the coming year at the annual meeting,
a simple majority approval by the Board of Directors and not less than one third (1/3) of the general member ship shall be required.
E: Fiscal year:
The fiscal year shall begin January 1 of each year and shall end on December 31 of each calendar year.
ARTICLE 8: NOMINATIONS AND ELECTION OF OFFICERS
Nominations and election for officers shall be held in the month preceding the expiration of office terms.
ARTICLE 9: AMENDMENTS
The Constitution and Bylaws may be amended by two-thirds (2/3) vote of the total membership. P
roposals for amendments shall be submitted at a regular or special meeting, and shall be voted on at the meeting,
or following meeting provided all members have been notified of the intent to amend the constitution and bylaws at said meeting.
